Terms of Service / Public Offer Agreement

1. Parties to the Agreement

This Public Offer Agreement (the “Agreement”) is entered into by and between 12410842 Canada Inc., duly registered under the laws of Canada and having its principal place of business at 54 Bassett Avenue, Richmond Hill, Ontario, Canada L4B 4J9 (hereinafter referred to as the “Company”), on the one hand, and any individual or legal entity accepting the terms of this Agreement by registration, payment, or otherwise (hereinafter referred to as the “User”), on the other hand.

The Company and the User are hereinafter collectively referred to as the “Parties” and individually as a “Party.”

2. General Terms

By registering, signing up, submitting information, or making payment via the Company’s website (https://thebrandcodes.com
), the User confirms full acceptance of the terms and conditions set forth in this Agreement and agrees to be legally bound by them.

3. Services

The website provides access to online events, webinars, and promotional offers. Participation may require registration, email confirmation, or payment (where applicable). Details and descriptions of each offer are listed on the relevant registration page.

4. Refund Procedure

To initiate a refund, the User must submit a written request detailing the reason for the refund, along with any supporting documentation (e.g., medical certificates), by sending an email to info@thebrandcodes.com. The Company will review the refund request within 45 calendar days from the date of its receipt. If the request is approved, the Company will process the refund to the same account or card used for the original payment within 100 calendar days.

Refunds will not be issued if the User has violated any terms of this document. The Company reserves the right to refuse a refund in such cases.

This Agreement outlines the terms for partial refunds of unviewed modules, taking into account:

If more than 15% of a module’s content has been accessed, the module is considered "viewed" and non-refundable.

The Company reserves the right to refuse service or cancel participation at any time at its sole discretion, with a full refund if applicable.

6. Payment & Refunds

If participation requires payment, it must be made in full prior to access, unless otherwise specified under an installment or partial payment plan.

6.1 Default on Payment

In the event that the User fails to make a scheduled payment under an installment or partial payment plan, the Company reserves the right to immediately suspend or terminate the User’s access to all materials, services, and platforms. Any amounts already paid by the User shall be retained by the Company as compensation for damages incurred and for the value of services already rendered. The User acknowledges and agrees that such amounts shall not be refundable under any circumstances.

6.2 Refund Deductions

In the event of a refund, the Company shall return the amount calculated in accordance with the refund terms of this Agreement, less any applicable bank charges, transaction fees, or payment system commissions. The User acknowledges and agrees that such deductions are non-refundable and shall be borne exclusively by the User.

6.3 Third-Party Specialists and Additional Services

The Company may, at its discretion, provide the User with access to certain specialists or professional services. The User acknowledges and agrees that such services are not included in the cost of the selected Plan and shall be subject to separate fees.

Such specialists may include, but are not limited to:

Video/content editor
Photo editing/graphic artist
Copywriter
Executive assistant
Sales team
Videographer
SMM specialist
Content specialist
Methodologist

The scope, terms, and pricing of such additional services shall be determined separately and agreed upon between the Parties.

7. Liability

12410842 Canada Inc. is not liable for technical issues on the User's side, incorrect contact information, or failure to access due to third-party platforms (e.g., Zoom, GetCourse). All materials are provided “as is” for educational and promotional purposes only.

8. User Obligations

Users agree not to share, copy, or redistribute materials provided without explicit written permission. Users must provide accurate personal information and follow platform/community rules if provided.

9. Reputation Protection

If the User engages in any conduct that damages, or may reasonably be expected to damage, the business reputation of the Company — including but not limited to disparaging statements made in group chats, mentor sessions, online broadcasts, or public forums — the Company reserves the right to immediately suspend or terminate the User’s access to the product. In such cases, the refund procedure, if applicable, shall be carried out strictly in accordance with the terms set forth in this Agreement.

10. Governing Law

This Agreement shall be governed by the laws of the Province of Ontario, Canada.

11. Acknowledgment

BY USING THIS WEBSITE YOU ACKNOWLEDGE AND AGREE TO THE FOLLOWING:
Individual results may vary. Past results of Afnan Khalifa, guest experts, or program participants, as published by the Company or posted on social media, are not indicative of future results of Afnan or her system and do not guarantee the outcomes you may achieve.

Furthermore, the methods, information, content, videos, resources, opinions, metrics, strategies, articles, and all other features of the Company’s websites (including those personally owned by Afnan Khalifa), social media channels, and materials, as well as any product or service offered by the Company (collectively, the "Information"), are provided solely for informational and educational purposes. You are solely responsible for your decisions regarding the use of this Information, and nothing herein is intended to be, or shall be construed as, a promise or guarantee of any specific result.

The Private Jet tier does not imply the provision of an actual aircraft but includes all premium options described in the package.
